This document outlines the Terms of Service (the "Agreement") for services provided by Discover My Brand, operated by SEEDTECH Studios ("we," "us," or "our"). This Agreement is between you ("the Client") and us, and it governs the use of our services. By engaging with us, you agree to these terms.

1. Scope of Services

​

We agree to provide the services as detailed in the project proposal or quotation provided to you. Our services are focused on brand development, website creation, and digital marketing. Any work outside the scope of the original agreement will require a new proposal and may be subject to additional fees.

2. Subcontractors

​

We reserve the right to engage third-party contractors and service providers to assist in the delivery of our services. By agreeing to these terms, the Client acknowledges and consents to the use of subcontractors, such as but not limited to, freelance designers and developers, for the completion of project deliverables. We will ensure that all subcontractors are bound by confidentiality agreements to protect the Client's project information and intellectual property.

3. Payment & Invoicing

​

Our payment structure is designed to take the pressure off your initial investment. The first invoice will be for a 70% upfront payment to begin work on your project. The remaining 30% is due upon delivery of the completed package.

All invoices are payable within 14 days of the invoice date. Should any invoice not be settled within this period, it may result in a delay to your project or also incur additional fees. Work will not commence on a new phase of a project until the previous invoice has been settled in full.

4. Client Responsibilities

​

To ensure a smooth and timely project, the Client agrees to:

• Provide all necessary content, images, and information for the project in a timely manner.

• Provide clear feedback and approvals during the project phases.

• Make payments according to the agreed-upon schedule.
   

5. Intellectual Property
 

Upon final payment for services rendered, the Client will own the intellectual property rights to the final deliverables, including logos, website designs, and content. We retain the right to display the completed work in our online portfolio and marketing materials for promotional purposes.
 

6. Limitation of Liability
 

In no event shall we be liable for any direct, indirect, incidental, special, or consequential damages arising out of this Agreement or the services provided. Our liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us for the services.

7. Termination of Agreement
 

Either party may terminate this Agreement by providing written notice if the other party breaches any of its obligations and fails to remedy the breach within 30 days of receiving notice. In the event of termination by the Client before completion, any fees for work completed up to the date of termination will be invoiced and are immediately due.
 

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
